ROCteams Terms of Service

Last Updated: August 10, 2026 v2026-08-11

1. Service Scope and License

ROCteams grants the Customer a limited, non-exclusive, non-transferable license to access the platform. The Customer acquires no ownership interest in the source code or underlying architecture. ROCteams (or its licensors) retains all right, title, and interest in and to the Service. Any suggestions, enhancement requests, or feedback provided by the Customer shall become the sole property of ROCteams.

2. Acceptable Use

2.1. Prohibited Conduct: Customer shall not, and shall not permit any user under its account to: (a) use the Service to violate any applicable law, including wage-and-hour, labor, employment, or biometric/genetic privacy laws; (b) use geolocation, photo capture, or timekeeping data collected through the Service to harass, discipline in bad faith, or unlawfully surveil any employee outside the scope of legitimate workforce management; (c) attempt to reverse-engineer, decompile, or gain unauthorized access to the Service or its underlying infrastructure; (d) use the Service to store or transmit unlawful, infringing, or malicious content; or (e) resell, sublicense, or provide the Service to any third party outside Customer's own organization without ROCteams' prior written consent.

2.2. Compliance Responsibility: Customer is solely responsible for ensuring its own use of the Service — including its configuration of geolocation tracking, photo-based clock-in verification, and any employee monitoring features — complies with applicable federal, state, and local law, including any notice or consent obligations owed to Customer's own employees.

3. Payment and Subscription Terms

3.1. Subscription Fees: Access to the ROCteams platform is provided on a subscription basis. All fees are due in advance of the service period, as set forth in your subscription plan or signed service agreement.

3.2. Payment Processing: Payment processing is facilitated through Stripe. ROCteams does not store, process, or have access to your full credit card details. By providing payment information, you authorize Stripe to charge the applicable subscription fees to your designated payment method. Where Customer elects to use the Expense Wallet feature, card issuance and transaction processing for that feature are also facilitated through Stripe (Stripe Issuing), subject to Stripe's own terms.

3.3. Taxes: All fees are exclusive of applicable taxes (such as VAT or sales tax), which are the sole responsibility of the Customer.

3.4. Late Payments: If fees remain unpaid for more than five (5) days following the due date, ROCteams reserves the right to suspend the Customer's access to the Service until all outstanding balances, including any applicable late fees, are paid in full.

3.5. No Refund Policy: Except as otherwise explicitly provided in an executed Service Agreement, all fees are non-refundable. Service usage is billed for the full cycle regardless of actual usage.

3.6. Price Modifications: ROCteams reserves the right to modify subscription fees with at least thirty (30) days' written notice. Continued use of the Service after the effective date of the price increase constitutes the Customer's agreement to the updated fees.

4. Account Security and Termination

4.1. Security Responsibility: Customer is responsible for maintaining the security of all login credentials. ROCteams is not liable for any loss or damage arising from the Customer's failure to secure their account. Customer must notify ROCteams immediately upon becoming aware of any unauthorized use.

4.2. Termination for Cause: ROCteams may terminate or suspend the Customer's account immediately if the Customer breaches these Terms or engages in fraudulent activity.

4.3. Data Export: Upon termination, Customer shall have thirty (30) days to export their data. Following this period, ROCteams is authorized to delete all Customer data from its servers.

5. Confidentiality

5.1. Definition: "Confidential Information" means any non-public information disclosed by either party to the other in connection with these Terms, including business, technical, and financial information, but excluding information that is or becomes publicly available through no fault of the receiving party, was already known to the receiving party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

5.2. Obligations: Each party agrees to use the other party's Confidential Information solely to perform its obligations under these Terms, and to protect it using the same degree of care it uses for its own confidential information of similar nature, but no less than reasonable care. This section does not limit either party's use of aggregated or de-identified data, or ROCteams' ability to disclose information as required by law or valid legal process.

6. Limitation of Liability

6.1. Exclusion of Consequential Damages: To the maximum extent permitted by law, in no event shall ROCteams be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising out of or in connection with the use of the service.

6.2. Liability Cap: The total aggregate liability of ROCteams for any claims arising out of or related to this agreement, whether in contract, tort (including negligence), or otherwise, shall not exceed the total fees paid by the Customer to ROCteams during the twelve (12) month period immediately preceding the event giving rise to the claim.

7. Disclaimer of Warranties

Except as expressly stated in these Terms, the Service is provided "AS IS" and "AS AVAILABLE," without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, or any warranty arising from course of dealing or usage of trade. ROCteams does not warrant that the Service will be uninterrupted, error-free, or that any defects will be corrected, except to the extent expressly set forth in Section 12 (Service Level Agreement).

8. Indemnification

8.1. By Customer: Customer shall indemnify, defend, and hold harmless ROCteams and its officers, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of or relating to: (a) Customer's use of the Service in violation of these Terms or applicable law; (b) Customer's mishandling of any Personal Data (including but not limited to Social Security Numbers, dates of birth, or biometric-adjacent identity-verification photos) accessed through the Service; or (c) any dispute between Customer and its own employees or contractors arising from Customer's use of the Service's timekeeping, geolocation, scheduling, or payroll-related features.

8.2. By ROCteams: ROCteams shall indemnify, defend, and hold harmless Customer from and against any third-party claim alleging that the Service, as provided by ROCteams and used in accordance with these Terms, infringes a valid U.S. patent, copyright, or trademark, subject to the liability cap in Section 6.2. This obligation does not apply to claims arising from Customer's modification of the Service, combination of the Service with non-ROCteams products, or Customer's own data or configuration choices.

9. Wage, Hour, and Payroll Compliance Disclaimer

The Service includes configurable tools that compute overtime thresholds, break deductions, billing rates, and pay-relevant timesheet data, and that can export timesheet data into third-party payroll systems (including Gusto, ADP RUN, and QuickBooks) selected and configured by the Customer. These tools operate strictly according to the thresholds, rules, and rates that Customer configures within the platform. ROCteams does not provide legal, payroll, tax, or accounting advice, and does not independently verify that Customer's configured settings comply with the Fair Labor Standards Act, state wage-and-hour law, or any other applicable law. Customer remains solely responsible for configuring the Service correctly and for its own compliance with all applicable wage-and-hour and payroll obligations, regardless of any calculation, export, or output produced by the Service.

10. AI Assistant Disclaimer

The Service includes an AI assistant feature that interprets natural-language requests and, for actions that would modify Customer data, presents the interpreted action to an authorized user for explicit confirmation before any change is made — no AI-drafted action is executed without a human confirming it first. Notwithstanding this safeguard, AI-generated interpretations, summaries, and suggestions may be inaccurate or incomplete. Customer is responsible for reviewing any AI-proposed action before confirming it, and ROCteams is not liable for actions a Customer's authorized user has reviewed and confirmed. Customer should not enter Social Security Numbers, financial account numbers, or other highly sensitive identifiers into free-text prompts.

11. Governing Law, Venue, and Dispute Resolution

11.1. Governing Law: These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles.

11.2. Binding Arbitration: Except for claims for injunctive relief or claims that may be brought in small claims court, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, conducted by a single arbitrator, with the seat of arbitration in the county where ROCteams LLC maintains its principal place of business in Florida. Judgment on the arbitration award may be entered in any court having jurisdiction.

11.3. Class Action Waiver: Any proceeding to resolve a dispute under these Terms will be conducted only on an individual basis and not as a class, consolidated, or representative action. The arbitrator may not consolidate more than one party's claims and may not otherwise preside over any form of a class or representative proceeding.

11.4. Venue for Excluded Claims: For any claim excluded from arbitration under Section 11.2, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida.

12. Service Level Agreement (SLA)

12.1. Uptime Commitment: ROCteams shall use commercially reasonable efforts to ensure the Service is available at least 99.9% of the time, excluding scheduled maintenance.

12.2. Service Credits: In the event the Service uptime falls below 99.9% in any calendar month, the Customer shall be entitled to a service credit equal to 10% of the monthly subscription fee for that month, to be applied to future invoices.

12.3. Exclusive Remedy: The parties acknowledge and agree that the Service Credits provided in this section shall be the Customer's sole and exclusive remedy for any breach of the uptime commitment or service availability.

13. Scheduled Maintenance

13.1. Definition: "Scheduled Maintenance" means any maintenance performed on the platform during periods of low usage, provided that ROCteams provides at least twenty-four (24) hours' prior notice via the platform dashboard or email notification.

13.2. Exclusions: For the purposes of calculating Service Level Credits, "Downtime" does not include:

  • Any period of maintenance performed during a scheduled maintenance window.
  • Any unavailability caused by factors outside of ROCteams' reasonable control (e.g., force majeure, ISP failures, or Customer-side configuration issues).
  • Any performance degradation caused by unauthorized modifications or improper use of the platform by the Customer.

14. General Provisions

14.1. Assignment: Customer may not assign or transfer these Terms, in whole or in part, without ROCteams' prior written consent. ROCteams may assign these Terms without consent in connection with a merger, acquisition, or sale of substantially all of its assets.

14.2. Entire Agreement: These Terms, together with the Privacy & Data Protection Policy and any executed Service Agreement, constitute the entire agreement between the parties regarding the Service and supersede any prior or contemporaneous agreements on the same subject matter.

14.3. Severability: If any provision of these Terms is held unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

14.4. Notices: ROCteams may provide notice under these Terms via the platform dashboard or to the email address associated with Customer's account. Such notice is deemed received when sent.
